HIVEGLOBAL, a simplified joint-stock company with variable capital, having a minimum share capital of 300,000 euros and a fully paid-up subscribed share capital of 557,850 euros – SIRET: 93762829500019 - VAT No. FR36937628295 - https://m2m.hiveglobal.store/r/dn. With its registered office at: 59 Rue de Ponthieu, Office 326, 75008, Paris, France. Represented by Florian KEYSERS, Chairman,
hereinafter referred to as “HIVEGLOBAL”.
The participant in the programme is hereinafter referred to as the “Participant”.
HIVEGLOBAL and the Participant are hereinafter referred to individually as a “Party” and collectively as the “Parties”.
PREAMBLE
HIVEGLOBAL offers a programme enabling independent individuals or legal entities to promote certain HIVEGLOBAL offers by means of links, codes, identifiers or other authorised tracking mechanisms.
The programme may include:
- an affiliate programme based on the direct attribution of sales to an Affiliate
- a referral programme which may only be activated under the conditions set out in Annex 2
The referral programme does not give rise to any remuneration solely for the recruitment of a Participant. Any remuneration must be linked to an actual, valid sale from which payment has actually been received from a customer, in accordance with the rules set out herein and in the annexes.
Participation in the Programme implies acceptance of these general terms and conditions and the applicable annexes in the version in force on the date of acceptance.
ARTICLE 1 – PURPOSE AND CONTRACTUAL DOCUMENTS
The purpose of these general terms and conditions is to define the conditions for access to and participation in the Programme, as well as the rights and obligations of HIVEGLOBAL and the Participant.
The contract between the Parties comprises:
- these general terms and conditions
- Annex 1 relating to membership
- Annex 2 relating to referrals, only if this is expressly activated
- any specific terms and conditions accepted by the Participant

In the event of any conflict, the documents shall take precedence in the following order:
- the special terms and conditions signed by the Parties
- Annex 2 relating to referrals

Before registering, the Participant may consult these terms and conditions and the applicable annexes on the website https://m2m.hiveglobal.store/en/pages/cga-hiveglobal-affiliation-referral-scheme. Acceptance is given electronically by ticking a box in which the Participant is asked to copy the following statement:

The Participant may only complete their registration after having expressly copied out the statement. HIVEGLOBAL retains proof of acceptance, including the Participant’s identity, the version of the terms and conditions accepted, and the date and time of such acceptance.
The proof of acceptance must enable the identification of:
- the Participant
- the version accepted
- the date and time of acceptance

Continued participation following the entry into force of a new version shall not constitute acceptance of that new version unless the Participant has been notified of it in a manner that allows them to take note of it.

The Participant carries out their activities independently and under their own responsibility.
This contract does not create:
- any employment contract

- grant any unauthorised guarantee or discount
- present themselves as an employee, exclusive agent, commercial agent, legal representative or authorised agent of HIVEGLOBAL

ARTICLE 6 – ELIGIBLE OFFERS
Only offers expressly mentioned in Annex 1 or Annex 2 may generate a commission.

HIVEGLOBAL may add or remove an offer from the Programme subject to:

The removal of an offer does not affect commissions already earned.
ARTICLE 7 – AFFILIATE PROGRAMME

No commission is payable in respect of:
- a single click
- a single registration
- a single download
- a referral
- a cancelled order
- an unpaid order
- a fraudulent order

ARTICLE 8 - REFERRAL PROGRAM
8.1 Separate Activation
The Referral Program is activated only if Appendix 2:
- is completed
- is dated
- is accepted by the Participant
- bears the notation “Program Activated”
In the absence of an activated Appendix 2, no referral commission shall be due.
8.2 No Commission Based Solely on a Recommendation
Simply introducing HIVEGLOBAL, the Program, or an eligible Offer to a Referred Person does not, in and of itself, entitle the Participant to a commission.
No right to a commission arises solely from:
- sharing a link, code, or invitation
- introducing HIVEGLOBAL or the Program
- connecting a person with HIVEGLOBAL
- facilitating the creation of an account
- facilitating a person’s enrollment in the Program
- linking a person to a Participant
- having a person participate in a presentation or meeting
A commission is payable only if the commission-generating action specified in the applicable appendix is actually performed and validated. Such an action may include, in particular:
- the purchase of an eligible Offer by a Referred Person
- the completion of a valid Sale by a Referred Customer
- or, where expressly provided for in Appendix 2, the completion of valid Sales by a Referred Participant as part of their authorized business activity
In any case, no commission may be paid solely for the registration, admission, or enrollment of a person in the Program.
8.3 Conditions for the Referral Commission
When a Referred Person completes a Valid Sale involving an Eligible Offer, the Referrer may receive a commission if the following conditions are met:
- the referral is attributable to the Referrer in accordance with the applicable tracking rules
- the sale involves an Eligible Offer
- the sale amount has been effectively received by HIVEGLOBAL
- the sale has not been canceled, refunded, charged back, or disputed
- the sale does not result from fraud, manipulation, or a violation of these terms and conditions
- the rate and conditions set forth in Appendix 2 apply to the sale in question
The sale is validated within a maximum of 60 days after the expiration of the applicable withdrawal or refund period, starting from the date of payment.
8.4 Changes in the Status of the Referred Person
The status of a Referred Person may change during their relationship with HIVEGLOBAL. In particular, they may become a Customer, Affiliate, or Participant, provided they meet the conditions applicable to each status.
A change in status does not automatically entitle the Referrer to a commission. Any commission that may be due must correspond to a qualifying action expressly provided for in Appendix 2 and must be calculated solely in accordance with the rules applicable to that action.
8.5 Definition of Levels
Appendix 2 must specify whether the levels correspond to:
- performance tiers
- successive generations of Referrals
- another precisely defined calculation method
For each level, Appendix 2 must specify:
- the commission recipient
- the sale that triggers the commission
- the commission base
- the commission rate
- the conditions of validity
- any limits
- the rules for combining commissions
- the duration of affiliation
- the rules applicable in the event of a change in Referrer
8.6 No Mandatory Entry Fee
Unless otherwise determined by specific legal analysis and approval, access to the Program and progression within it must not be contingent upon:
- the payment of an entry fee intended to compensate the network
- the mandatory purchase of inventory
- the mandatory purchase of training
- the mandatory payment of a subscription fee
- the purchase of a product with no real commercial value
- the recruitment of a minimum number of people
ARTICLE 9 - SALES ATTRIBUTION
A sale may be attributed to the Participant only if:
- it was generated using an authorized link, code, or identifier
- the tracking system has recorded it
- it has not previously been attributed to another Participant in accordance with the applicable rules
- no fraud or manipulation has been detected
- the other conditions of Appendix 1 or Appendix 2 are met
The applicable Appendix must specify:
- the validity period of the link or cookie
- the attribution model used
- the rule in the event of multiple links
- the rule in the event of a promotional code being used
- the rule applicable to recurring sales
- the proof available to the Participant
- the procedure in the event of a dispute
HIVEGLOBAL’s technical data constitutes evidence, without depriving the Participant of the right to dispute an attribution in accordance with the procedure set forth in Article 11.
ARTICLE 10 - EXCLUDED SALES
No commission is due on:
- canceled sales
- refunded sales
- unpaid sales
- reversed sales
- disputed sales
- fraudulent sales
- sales obtained through prohibited self-referral
- sales made using false information
- sales generated by artificial clicks or sign-ups
- sales obtained in violation of these terms and conditions
- sales that do not relate to an eligible Offer
When a sale that has already been paid for is subsequently refunded or charged back, HIVEGLOBAL may make an adjustment corresponding to that sale, provided that the reason is indicated on the Participant’s statement.
ARTICLE 11 - VALIDATION AND DISPUTES
HIVEGLOBAL provides the Participant with a statement indicating, to the extent necessary:
- assigned sales
- pending sales
- validated sales
- excluded sales
- the reason for exclusion
- the applicable base amount
- the applied rate
- commissions earned
- any adjustments
The sale is validated within a maximum of 60 days after the expiration of the applicable withdrawal or refund period, starting from the date of payment.
In the event of further verification, HIVEGLOBAL may temporarily suspend the commission in question, but must:
- limit the suspension to the commission in question
- state the reason for the verification, to the extent permitted by law
- conduct the review within a reasonable timeframe
- allow the Participant to submit their comments
Mere suspicion does not automatically justify the permanent cancellation of all of the Participant’s commissions.
The Participant may dispute a statement within 15 days of its availability at the following address: juridique@hiveglobal.eu. HIVEGLOBAL will respond to the dispute within 30 days.
ARTICLE 12 - PAYMENT OF COMMISSIONS
Earned commissions are calculated according to the following frequency:
- Monthly
- Quarterly
- Annually
Payment is made no later than:
- 60 days
The minimum payment threshold is set at:
- 500 euros
If the threshold is not reached, the balance is carried over to the next period.
In the event of termination, accrued commissions are paid even if the minimum threshold is not reached, within a maximum of 60 days, provided that the information necessary for payment has been provided.

APPENDIX 1 - RULES AND TERMS OF THE AFFILIATE PROGRAM
Article 1 - Eligible Offers
The offers, products, and services eligible to generate a commission under the Program are listed in the Participant’s personal dashboard, accessible at the following address: https://affilitrak.com/login?shop=m2m.hiveglobal.store
The list displayed in the personal account indicates, for each offer:
- its title
- its reference number, if applicable
- its eligibility start date
- its eligibility end date, if applicable
- the applicable commission rate or amount
- any special conditions
- any applicable promotional or communication restrictions
The list available in the personal account serves as the applicable reference for eligible offers and the Program’s compensation terms.
Participants are encouraged to check their personal account regularly before undertaking any promotional activities. HIVEGLOBAL updates this list based on changes to offers, commercial terms, technical constraints, and legal or regulatory requirements.
Article 2 - Effective Date of Changes
Any change to the list of eligible offers or commission terms takes effect on the date indicated in the Participant’s personal account.
Unless required by law, necessary for security reasons, or otherwise expressly agreed to by the Participant, a change applies only to sales attributed on or after its effective date.
A change to the list of eligible offers does not affect:
- valid sales already attributed prior to such change
- commissions already earned
- the Participant’s rights regarding prior sales still pending validation, subject to their final validation
- the terms applicable to a sale attributed prior to the effective date of the change
When an offer is removed from the Program, sales attributed prior to the effective date of its removal continue to be processed in accordance with the terms applicable on the date of their attribution.
Article 3 - Updates and Access to Information
HIVEGLOBAL strives to keep the information available in the personal account up to date and accessible to the Participant.
The date and, where technically possible, the time of the last update are indicated in the personal account.
In the event of temporary unavailability of the personal account, HIVEGLOBAL may communicate the applicable information by any appropriate means, including via its extranet, social media, email, or by notification sent to the Participant.
The Participant must report to HIVEGLOBAL any apparent error regarding an offer, a commission rate, or a compensation condition within 24 hours of discovering it.
Article 4 - Participant Information
The Participant acknowledges having been informed that eligible offers, commission rates, and the Program’s terms and conditions are subject to change.
The Participant is encouraged to verify the information available in their personal account before:
- promoting an offer
- sharing a link or code
- disclosing a commission rate
- publishing content related to HIVEGLOBAL
- presenting an offer to a referred person
The Participant must not disclose any information that no longer appears as applicable in their personal account.
Article 5 - Commission Levels and Rates
The compensation levels, valid sales thresholds, and commission rates applicable to the Program are displayed in the Participant’s personal account.
The personal account specifies, in particular:
- the number of compensation levels
- the threshold required to reach each level
- the commission rate applicable to each level
- the method for calculating valid sales
- the rule applicable to the maximum level
The Program currently comprises 10 compensation levels, with Level 10 being the maximum level.
The Participant advances through the levels when they reach and validate the number of valid sales indicated in their personal account. The rate applicable to a level applies to valid sales attributed as of the effective date of that level, in accordance with the information displayed in the personal account.
Once Level 10 is reached, there are no higher levels. The rate applicable to Level 10 remains applicable to subsequent valid sales, subject to any changes applicable to future sales in accordance with these terms and conditions.
Reaching a level does not, in and of itself, entitle the affiliate to commission payment. Any commission remains contingent upon the completion of a valid sale, its attribution in accordance with the Program’s rules, and its final validation.
Article 6 - Basis of Calculation
The commission is calculated based on:
- the amount excluding tax that has been actually and definitively received, after deduction of discounts, refunds, credit notes, and chargebacks
Article 7 - Rate Schedule
The applicable tiers, thresholds, and rates are as follows :
|
LEVEL |
VALID SALES THRESHOLD |
APPLICABLE RATE |
PROGRESSION RULE |
|
Level 1 |
5 |

The Participant progressively advances to the various compensation levels as they reach the valid sales thresholds specified in the commission schedule. The rate corresponding to each level applies to valid sales credited after the Participant has reached that level. The Program consists of 10 levels, with Level 10 being the highest. Beyond Level 10, no further progression is provided, and the rate applicable to Level 10 remains in effect for subsequent valid sales. |

APPENDIX 2 - REFERRAL PROGRAM RULES
Article 1 - Purpose of the Referral Program
The Referral Program allows a Participant to introduce HIVEGLOBAL and its eligible Offers to external individuals who may join the Program.
When a referred individual is admitted to the Program, they become a Participant referred by the Participant who made the referral.
The referred Participant enjoys the same rights and is subject to the same obligations as any other Participant admitted to the Program, provided they meet the conditions applicable to their status.
In particular, the referred Participant may:
- promote eligible Offers
- make sales that may entitle them to an affiliate commission
- recommend HIVEGLOBAL to others
- become a Referrer for other Participants in turn
Becoming a referred Participant does not limit their affiliate rights or prevent them from referring others.
Article 2 - Definitions Specific to Referral
2.1 Referrer
The Referrer is the Participant who recommends HIVEGLOBAL to another person and whose referral link is recorded by HIVEGLOBAL’s tracking system.
2.2 Referred Participant
The Referred Participant is the recommended individual who is admitted to the Program and linked to a Referrer in accordance with the applicable eligibility rules.
2.3 Referral Relationship
The referral relationship is the recorded association between a Referrer and a Referred Participant.
This relationship allows the Referrer, when the conditions set forth in this Appendix are met, to earn a commission on certain valid sales made by the Referred Participant.
2.4 Referral Network
The referral network refers to all Participants directly or indirectly linked to a Referrer in accordance with the Program’s rules.
A referred Participant may become a Referrer for other Participants. Thus, they may simultaneously be:
- a referred Participant of a Referrer at a higher level
- a Referrer for Participants at a lower level
- an Affiliate generating their own sales
Article 3 - Admission of the Referred Participant
The referred individual becomes a Participant only after fulfilling the admission requirements set forth in these Terms and Conditions.
Simply sharing a link, code, invitation, or referral does not guarantee admission to the Program.
Admission is subject, in particular, to:
- the provision of accurate information
- acceptance of the general terms and conditions
- acceptance of the applicable appendices
- account validation by HIVEGLOBAL
- compliance with applicable legal and regulatory obligations
The admission of a referred Participant does not automatically entitle the referrer to a commission. The referral commission is solely tied to valid sales made under the conditions set forth in this Appendix.
Article 4 - Event Giving Rise to the Referral Commission
A referral commission may be due to the Referrer when a referred Participant makes a valid sale of an eligible offer.
The valid sale must:
- be made by the referred Participant as part of their authorized business activity
- be attributed to the referred Participant by HIVEGLOBAL’s tracking system
- have been actually received by HIVEGLOBAL
- not have been canceled
- not have been refunded
- not have been subject to a chargeback or dispute
- not result from fraud, manipulation, or a violation of these terms and conditions
The referral commission is not payable solely for introducing HIVEGLOBAL, for registration alone, for admission alone, or for a Participant’s enrollment alone.
Article 5 - Rights of the Referred Participant
The Referred Participant enjoys the same membership rights as other Participants with the same status or Program level.
In particular, they may:
- make their own sales
- receive the affiliate commissions applicable to them
- recommend HIVEGLOBAL to external individuals
- refer new Participants
- receive the referral commissions applicable to them
- view their sales, levels, and commissions in their personal account
The Referred Participant is also subject to the same rules and obligations as other Participants, particularly regarding communication, compliance, intellectual property, personal data, and fraud prevention.
Article 6 - Referrer’s Commission on the Referred Participant’s Sales
When an Affiliate makes a valid sale, the Referrer who referred them receives a percentage of the commission earned by that Affiliate.
Example: Pierre, an NV10-level Referrer, refers Élodie, an NV5-level Affiliate.
Élodie makes a valid sale totaling €1,000 (excluding tax). Her commission rate is 5%, which amounts to:
€1,000 (excl. tax) × 5% = €50 (excl. tax) in commission
Pierre receives 30% of the commission earned by Élodie, or:
€50 (excl. tax) × 30% = €15 (excl. tax) in commission
Élodie therefore receives:
€50 (excl. tax) - €15 (excl. tax) = €35 (excl. tax) in commission
The Affiliate’s commission is calculated based on the pre-tax amount actually received by HIVEGLOBAL for the valid sale, after deducting discounts, refunds, credit notes, and chargebacks.
The percentage paid to the Referrer depends on their referral level. The applicable rate is indicated in the Participant’s personal account.
Only one calculation rule applies to each valid sale and must be applied consistently.
Eligible Offers and Commission Terms
The offers, products, and services eligible for commission are listed in the Participant’s personal account, accessible at the following address: https://affilitrak.com/login?shop=m2m.hiveglobal.store
For each offer, this dashboard specifies, in particular:
- its title
- its reference number, if applicable
- its eligibility period
- the applicable commission rate or amount
- any special conditions
- restrictions applicable to its promotion or communication
The list displayed in the personal dashboard constitutes the official reference for determining eligible offers and the compensation terms applicable under the Program.
The Participant must regularly check their personal account before undertaking any promotional activities. HIVEGLOBAL may update this list based on changes to offers, commercial terms, technical constraints, or legal and regulatory requirements.

Article 8 - Combining Statuses and Commissions
A Participant may hold the following statuses simultaneously:
- Affiliate for their own sales
- Sponsored Participant when linked to a Sponsor
- Sponsor when they, in turn, recommend HIVEGLOBAL to others
These statuses are independent of one another.
When a Participant makes a valid sale, they may receive the applicable affiliate commission.
When a sponsored Participant makes a valid sale, their Sponsor may receive the corresponding referral commission, subject to the rules of this Appendix.
The combination of an affiliate commission and a referral commission is permitted only under the conditions displayed in the Participant’s personal account.
Article 9 - Referrer Attribution
The relationship between a Referrer and a referred Participant is determined by HIVEGLOBAL’s attribution system based on the link, code, ID, or mechanism used during registration.
The attribution must be made before or at the time of the Participant’s admission to the Program, in accordance with the terms displayed in the personal account.
Unless there is a technical error attributable to HIVEGLOBAL, fraud, or a provision to the contrary posted in the personal account, a validated referral cannot be modified retroactively.
In the event of a dispute regarding the referral, the Participant may file a complaint by email at juridique@hiveglobal.eu
Article 10 - Termination of the Referral Relationship
The referral relationship ends when:
- the referred Participant permanently leaves the Program
- the account is terminated
- the referral is canceled due to fraud
- the Program is discontinued
- a legal or regulatory provision requires it
The termination of the referral relationship does not affect commissions earned prior to its effective date, subject to the adjustments provided for in these terms and conditions.
A change to the referral schedule applies only to sales made on or after its effective date. It cannot retroactively revoke a commission that has already been earned.
