SPECIAL GENERAL TERMS AND CONDITIONS OF SALE FOR THE M2M/IoT WEBSITE – OCTOBER 2026
GENERAL PROVISIONS
As defined in Section I of Article L. 441-1 of the French Commercial Code https://entreprendre.service-public.fr/vosdroits/F33527, the General Terms and Conditions of Sale, or GTC, shall remain in force for the entire duration of the contractual relationship and constitute the agreement governing the relations between HIVEGLOBAL (hereinafter referred to as ‘the Company’) and its customers in connection with the sale of services, subscriptions or products. They imply the customer’s full and unreserved acceptance; the fact that the company does not enforce any clause set out in its favour in these GTC shall not be construed as a waiver of its right to rely on it.
Definitions:
Standardised service: Any sale or provision of services that is not bespoke on the part of HIVEGLOBAL.
Bespoke service: Any service provided by HIVEGLOBAL at the customer’s express request or which is not included on the website.
1.0 Provision of services and supply of goods
1.1 General
With regard to the supply of M2M/IoT products, HIVEGLOBAL sells its products to businesses and private individuals. Due to the specific nature of these sales and in compliance with the General Data Protection Regulation, HIVEGLOBAL is authorised to carry out any identity verification. Should this prove impossible, HIVEGLOBAL will not supply any products of any kind and reserves the right to cancel sales regardless of their stage of completion.
The customer is fully aware that the website solely lists standardised invitations to enter into negotiations. HIVEGLOBAL’s offer is therefore only complete, within the meaning of French contract law, once it has provided a quotation or, failing that, has validated the customer’s order and confirmed the availability of all products ordered by the required date, in particular with its suppliers.
In the context of the provision of services, any delivery date is provided for information purposes only.
Whilst HIVEGLOBAL adheres to the terms and conditions set out in this common basis for negotiation, it is under no obligation to agree to supply a customer, subject to compliance with competition law.
These General Terms and Conditions of Sale for M2M/IoT apply to M2M/IoT goods and services, to the exclusion of any more general set of rules provided by HIVEGLOBAL.
1.2 Standardised provision and sale via the website
HIVEGLOBAL provides a range of goods and services available on its website:
It supplies tangible and intangible goods for sale or via subscription, as well as the integration of certain equipment and solutions.
Receipt of full payment constitutes an order and triggers the order verification process. This is followed by the dispatch of the product or the activation of the subscription.
1.3 Bespoke Services and Sales:
HIVEGLOBAL also offers customers bespoke services, which are formalised through the provision of a quotation. Issued by email with a read receipt, this quotation sets out, for any service, product, contract or subscription, the nature, price, payment terms, and the actions and obligations of the customer and relevant parties. It also constitutes the customer’s full and unconditional acceptance of the General Terms and Conditions.
1.3.1 For bespoke services, the customer has a period of one month to confirm their order in a firm and definitive manner, by returning the duly approved and signed quotation via the ‘sign online’ button in the right-hand column of the quotation, together with their deposit; receipt of the deposit will confirm the commencement of the contract and the start of the service provision.
Failing receipt of the client’s agreement or the deposit within the specified timeframe, the quotation may be cancelled at HIVEGLOBAL’s discretion.
It is specified that the amount of the quotation is reassessed on the date of the client’s final acceptance and payment of the deposit, due to supply constraints, market-related incidents, etc.
For long-term services, the amount of the quotation may be amended during the course of the contract, provided this is specifically stated in the quotation.
HIVEGLOBAL will notify the customer by registered email in the event of any changes to the amounts due to an increase in the cost of supplies, market disruptions, etc.
A new quotation will be provided in the event of an unforeseen price change.
Each customer can view their quotations in their dedicated customer portal. The customer is notified of their availability by text message. Documents must be signed electronically using the integrated signature module. Various payment solutions are also integrated:
- SEPA and non-SEPA bank transfers
- SEPA direct debit
All contractual elements relating to the provision of services are certified by the Youtrust software or any other tool approved by HIVEGLOBAL for the certification of such documents.
1.3.2 For sales of bespoke goods, the customer has 14 days to confirm their order as firm and final, returning the digital quotation duly approved and signed via the ‘sign online’ button in the right-hand column of the quotation. In particular, prices are subject to change after these 14 days. Receipt of full or partial payment constitutes acceptance of the order and triggers dispatch of the product or activation of the subscription.
Quotations for services are made available to the customer in their dedicated customer portal. The customer is notified of their availability by text message. The document must be signed electronically using a signature module integrated into the quotation. Various payment solutions are also integrated:
- SEPA and non-SEPA bank transfers
- SEPA direct debit
If the customer’s agreement is not received within the 14-day period and the deposit or payment is not received within the following five days, the quotation proposal is simply cancelled.
1.4 Installation restrictions
Certain IT products, such as hardware and software, are subject to installation restrictions, which must be detailed in the technical specifications or directly in the purchase offer on the website.
2.0 Delivery and service times:
2.1 Withdrawal and cooling-off period
For all tangible and intangible goods offered individually and whose price does not exceed €5,000 (excluding VAT), the withdrawal period is limited to 14 days from the day after receipt of the products. Products offered as part of a pack, in a set or marked “Made to Order” are not subject to the withdrawal period.
The withdrawal period must be stated when ordering each product on the HIVEGLOBAL website in order to be valid.
Where the customer exercises their right of withdrawal, HIVEGLOBAL will refund the full amount paid within 14 calendar days. Refunds will be made at the customer’s discretion, either in cash or as a credit note. The default method of refund is via the payment method used. Exchange rates and commission charges are borne by the customer.
A withdrawal form will be provided to the customer on request via the chat function.
For the provision of certain specific services mentioned on the M2M/IoT website, the 14-day period is a cooling-off period, during which HIVEGLOBAL is not obliged to provide the service or activate the subscription.
It is possible to commence performance by expressly authorising HIVEGLOBAL to waive the cooling-off period. To this end, a statement confirming that the cooling-off period is definitively waived is displayed at the time of ordering and expressly confirmed by the customer. HIVEGLOBAL may refuse to waive this cooling-off period at its discretion.
2.2 Delivery times and costs:
Unless otherwise stated or marked “Made to Order”, the delivery time for all products and services is set at 20 calendar days in mainland France and must be quoted for deliveries within and outside the EU.
The delivery time for all products and services supplied in large quantities must be assessed via a quotation for deliveries within and outside the EU.
Deliveries are in all cases subject to the terms and conditions of the suppliers or carriers engaged.
Delivery charges up to €2,500 are, in principle, payable by the buyer.
For small-quantity shipments (fewer than 300 items), the carriers used are:
- UPS
For large-quantity shipments (300 or more items), the carriers used are:
- UPS, FedEx, DHL
3.0 Payment Terms
3.1 Product and Price Table
The pre-tax prices displayed are negotiable subject to specific terms and conditions of sale, expressed in euros (€); some of these prices are subject to volume discounts or minimum contract period discounts, as detailed in the discount schedules. The only discounts offered are those indicated in the discount schedules set out at the bottom of these General Terms and Conditions of Sale.
Prices linked to market fluctuations are, in principle, reviewed once a year. The prices shown in the unit price table of these M2M/IoT General Terms and Conditions of Sale are therefore the prices valid on the date of the quarterly review. The prices valid on the date of resale are indicated on the website, subject to review.
Setting and Revision of Prices HIVEGLOBAL reserves the right to amend the prices shown on the website and in these M2M/IoT General Terms and Conditions of Sale at any time, in particular to correct any inadvertent errors and to adjust prices in line with its suppliers’ terms and conditions. Any price changes take effect as soon as they are posted on the website. However, should a pricing error occur, HIVEGLOBAL will bring this to the attention of all its customers by any means.
A full history of changes will be made available at the customer’s request within two calendar months of the request being made.
3.2 Prices for bespoke services
A strict pricing structure is in place on the website for services. Discounts are offered exclusively on subscriptions.
Treatment of the price at the end of the contract
It is possible to cancel or terminate a contract; however, any deposit paid for any bespoke service or sale shall be retained.
It is agreed between the parties that payment of the balance for the service by the customer constitutes final acceptance and approval of the services.
3.3 Payment methods
The price is payable to HIVEGLOBAL at the time of ordering, either in full or in instalments.
The following payment methods are accepted on the website:
Specialised Interface
- Shop Pay
Credit Cards
- Visa
- Mastercard
- American Express
- Credit Cards
Digital Wallets
- Apple Pay
- PayPal Wallet
Cryptocurrencies
- USDC
Local payment methods
- Bancontact
- EPS
- MobilePay
- Przelewy24
The authorised payment methods for quotations are:
- SEPA and non-SEPA bank transfers
- SEPA direct debit
3.4 Late payments
Principle and non-financial consequences
All sums due to HIVEGLOBAL are, in principle, payable immediately.
Any delay or failure to pay shall entitle the company to suspend dispatch of the product, the provision of the service or the current subscription, to cancel orders and to refuse any new orders from the customer concerned.
Fixed-sum recovery fee, penalties, interest rates
Any delay or failure to pay shall automatically render any outstanding sum immediately due, plus a late payment penalty in the form of interest at the statutory rate. Payable without the need for a reminder, these penalties apply from the day following the due date and are calculated on a pro rata basis. HIVEGLOBAL is also authorised to charge the customer a flat-rate collection fee of €40 per invoice.
3.5 Clause on additional processing fees
Principles governing the delivery and provision of goods and services
Tangible goods are offered for sale to the customer on the HIVEGLOBAL website. In principle, no processing fees apply.
Delivery of goods is, in principle, entirely the responsibility of the supplier, who holds the products in stock and arranges delivery on its own terms. The sale or subscription-based provision of intangible goods takes place on the HIVEGLOBAL website.
As an exception, HIVEGLOBAL itself handles the delivery of all tangible goods to the customer. A specific timeframe for the correct configuration of the equipment may apply on a case-by-case basis.
Additional processing fees
Processing fees may be set by HIVEGLOBAL for certain highly specific orders; these must be detailed in the quotation. They may include, in particular, the hours at hourly rates required for research carried out by HIVEGLOBAL, as well as the use of third-party services not provided by HIVEGLOBAL.
4.0 Transfer of Ownership and Risk
4.1 Tangible Assets
The transfer of risk in respect of goods supplied by HIVEGLOBAL takes place at the time the goods are collected by the carrier, who remains responsible for them until delivery is accepted by the customer.
All tangible goods owned by HIVEGLOBAL and covered by these M2M/IoT General Terms and Conditions of Sale are subject to a retention of title by HIVEGLOBAL until full payment of the price has been made.
This clause applies in full from the moment HIVEGLOBAL has not been paid in full and definitively. Settlement of the outstanding amount must be made against the actual resale price of the goods subject to retention of title.
4.2 Intangible assets
A specific distribution contract concluded with the supplier of the intangible assets provided by HIVEGLOBAL protects the licences for their use. Intangible assets are subject to a set of terms of use described in their respective licences. They are never transferred as property by HIVEGLOBAL.
5.0 Warranty and liability
5.1 Statutory warranties
HIVEGLOBAL accepts no liability for any damage or loss caused by a hidden defect in the digital and hardware products it distributes, as it has no control over their production due to its role as a distributor.
HIVEGLOBAL accepts no liability in the event of incompatibility between M2M/IoT solutions and the customer’s systems, given that compatible systems are specified in the product data sheets available on the manufacturer’s website.
5.2 Integration Guarantee
Principle of the integration guarantee
HIVEGLOBAL is liable solely for the successful integration of solutions, hardware and services within the client’s organisation for which integration was provided at the time of sale.
The warranty covers only those solutions, hardware and services whose components or APIs have remained at the same version between the time of integration carried out by HIVEGLOBAL and the occurrence of the damage or loss suffered.
The integration warranty for solutions, hardware, services and software services is limited to one year.
Scope of the integration warranty
As this is an obligation of means, this warranty is limited, in particular and in all circumstances, by technical constraints assessed on a case-by-case basis.
This warranty shall only apply where the aforementioned services have been included in a specific quotation or contract with the customer.
5.3 Warranty and liability specific to tangible goods
Goods offered for sale or hire by HIVEGLOBAL generally pass only through the supplier’s premises. HIVEGLOBAL therefore provides no warranty in respect of these goods.
Tangible goods are covered by the manufacturers’ own warranties.
HIVEGLOBAL provides the following information regarding these goods:
- Name of the trader providing the warranty
- Postal and telephone contact details, email address of the trader, or any other means of communication enabling the customer to make a claim under the warranty
HIVEGLOBAL nevertheless reserves the right to provide a specific warranty for certain products on the website.
Ownership of tangible goods is transferred to the customer upon full payment of the price; however, the transfer of risks associated with the goods, including liability, takes place between the actual holders of the goods – namely the supplier and the customer – as soon as delivery is accepted by the customer.
5.4 Warranty and liability for bespoke services
As HIVEGLOBAL has an obligation of means with regard to bespoke services, it undertakes to provide the services and advice in accordance with best practice, the terms of the quotation and in compliance with the applicable legal and regulatory provisions.
The client undertakes to provide the company with all complete and accurate information, documents and access necessary for the proper performance of the services and a full understanding of the issues to be analysed.
The company shall under no circumstances be held liable for any breaches by the client or its agents, namely any error arising from a lack of information or from incorrect information provided by the client or its agents, or any delay caused by the client or its agents which would make it impossible to meet the deadlines agreed or prescribed by law. Each party shall be liable to the other for any breach of the obligations incumbent upon it.
5.5 Warranty relating to third-party services
HIVEGLOBAL may also act as an intermediary between a client and a service provider. In such cases, HIVEGLOBAL shall not be held liable for any loss or damage suffered by the client in connection with such services.
6.0 Force Majeure
6.1 Principle of force majeure
HIVEGLOBAL shall not be held liable if the non-performance or delay in the performance of any of its obligations set out in these General Terms and Conditions arises from a force majeure event, namely any unforeseeable and unavoidable event within the meaning of Article 1218 of the Civil Code and as defined by French case law.
HIVEGLOBAL shall not be deemed to have failed to fulfil its obligations, nor shall it be held liable, if such an obligation is affected, temporarily or permanently, by an event or cause of force majeure beyond its control and outside its power to influence, including incidents at the company’s various offices and work premises, power cuts or internet outages lasting more than two days, IT equipment failure, long-term absence due to accident or illness.
6.2 The total incapacity of Florian KEYSERS to work is deemed to constitute a force majeure event
The total incapacity of Florian KEYSERS, the director, to work shall also be deemed a force majeure event if he cannot be replaced. Customers are advised that Florian KEYSERS is covered by the specific provisions of a ‘key person’ insurance policy, which compensates for any loss of turnover within HIVEGLOBAL in such circumstances.
6.3 Consequences of the occurrence of a force majeure event
As soon as possible, and at the latest within 5 working days of the occurrence of a force majeure event, the party in default due to force majeure undertakes to notify the other party by registered letter or email with acknowledgement of receipt. The defaulting company shall make every reasonable effort to remedy the causes of the delay and shall resume the performance of its obligations as soon as the circumstances invoked have ceased to exist. However, if the force majeure event persists for more than 15 working days from the date of receipt of the notification of the force majeure event, either party shall be entitled to terminate the agreement without being liable for damages, on the understanding that, in any event, any delay or failure to pay cannot be attributed to a force majeure event. Such termination shall take effect on the date of receipt by the other party of the written or electronic notice of termination sent by registered post with acknowledgement of receipt.
In the event that the agreement is terminated by the customer on the grounds of justified force majeure, the customer must pay HIVEGLOBAL all sums due up to the date of termination.
7.0 Termination and Disputes
7.1 Conditions of Termination
Any contract entered into under these General Terms and Conditions may be terminated once a year on its anniversary date, subject to three months’ notice. A penalty specific to each contract shall then apply.
Any contract entered into under these General Terms and Conditions may be terminated early. Such termination shall take effect on the date the other party receives the written or electronic notice of termination sent by registered post with acknowledgement of receipt. A penalty specific to each contract shall then apply.
7.2 Disputes
The parties agree to use their best endeavours to ensure that the performance of this contract does not give rise to a dispute and to attempt to resolve any disputes amicably.
Any persistent dispute arising from this contract shall be referred to the jurisdiction – where such jurisdiction exists in relation to this matter – of the AVANTGARDE arbitral tribunal, with French and European Union law applying to the exclusion of any other.
Failing that, the dispute shall be referred to the Paris Commercial Court. The law applicable to the dispute shall be French and European Union law, to the exclusion of any other.
In the event of a translation of this document, only the version drafted in French shall be deemed authentic for the purposes of concluding a contract.

- 24-month contract = 6 weeks
- 36-month contract = 9 weeks
- 48-month contract = 17 weeks
- 60-month contract = 21 weeks
- 72-month contract = 34 weeks
- 84-month contract = 48 weeks
- 120-month contract = 66 weeks
Contract duration in months and minimum cycle duration by break duration within a cycle:
- 12-month contract = 1 full month / maximum 6 days per cycle
- 24-month contract = 2 full months / maximum 12 days per cycle
- 36-month contract = 4 full months / maximum 18 days per cycle
- 48-month contract = 5 full months / maximum 24 days per cycle
- 60-month contract = 6 completed months / maximum 30 days per cycle
- 72-month contract = 7 completed months / maximum 36 days per cycle
- 84-month contract = 8 completed months / maximum 42 days per cycle
- 120-month contract = 12 completed months / maximum 60 days per cycle
Example: When taking out an M2M/IoT subscription, a discount based on the contract term can be combined with a volume-based discount. For example, a 120-month contract for 300 subscriptions results in the following calculation: (-8%) + (-1%) = (-9%).
